About Us
Tekeno LLC, a limited liability company registered in the State of Florida (USA), with its registered office at 237 S Dixie Hwy, 4th Floor, Ste 111, Coral Gables, FL 33133, operates a global marketplace ("Tekeno"), hosted on the Shopify platform, which allows door-to-door couriers ("Courier") to monetize their customer base through a commission scheme.

Purpose of the Agreement
These Terms regulate the relationship between Tekeno and the Courier who decides to promote Tekeno to their customer base.

The Courier agrees to:

Share Tekeno's official promotional content with their customer base.

Manage local deliveries within their previously agreed coverage area when applicable.

Abide by the operating, payment, and support conditions described in this agreement.

Commercial Terms
-
Commission. Tekeno grants the Courier the right to receive a commission equivalent to fifteen percent (15%) of the value of the products purchased by customers through their unique link, regardless of the order's destination. Tekeno may modify this percentage upon notification to the Courier.

Deliveries.

When the order's destination is within the previously agreed coverage area with the Courier, the Courier will be solely responsible for logistics management.

When the destination is outside the Courier's coverage area, Tekeno will directly manage the delivery. In all cases, the Courier will only be entitled to the commission established in clause 3.1, without additional income for managing deliveries outside their area.

Payments. Tekeno will settle commissions monthly, within the first five (5) calendar days of each month, via bank transfer to the account designated by the Courier or through the Zelle platform. All settlements will be made in United States dollars (USD) and will be calculated on the amounts actually received by Tekeno, once processed and converted according to the Shopify Payments conversion rate, the platform where Tekeno's payment gateway resides. Along with the settlement, Tekeno will send a sales and commission report. The Courier acknowledges that accreditation periods will depend on the financial institutions involved and exempts Tekeno from liability for delays attributable to third parties.

Costs. The Courier's participation in the program does not require enrollment fees, maintenance fees, mandatory contracts, or initial investment. The Courier will be responsible for the costs of managing deliveries in their coverage area, as well as for complying with applicable tax obligations.

Currency. The currency under which this agreement operates is the United States dollar (USD). However, customers may pay by credit card in local currency, with amounts processed and converted by Tekeno according to the Shopify Payments conversion rate. The calculation of commissions will be made exclusively on the amounts actually received and validated by Tekeno in USD.

Courier's Obligations

Promote Tekeno only with official materials provided by Tekeno.

Keep their contact details, coverage, and payment method updated.

Comply with local transport, customs, and invoicing regulations.

Timely deliver shipments under their responsibility and keep Tekeno informed of their status.

Tekeno's Obligations
-
Provide ready-to-use marketing materials (email, WhatsApp, social media, webpage).

Provide customer support, during purchase and after-sales.
-
Issue monthly sales and commission reports.

Keep the customer informed about the tracking of their shipments.

Support and Returns Policy
-
Support. Tekeno will directly handle all inquiries, complaints, and after-sales requests. The Courier will only intervene in complaints related to shipments under their responsibility.

Returns.
-
The User may request the return of products purchased on Tekeno within thirty (30) calendar days after delivery, provided they are in their original, unused condition, with tags, security seals, complete packaging, and accessories.

To initiate the return process, the User must write to devoluciones@tekeno.com, indicating the order number, product, and reason for the return.

Local return costs will be borne by the User, unless the product is defective or the order is incorrect, in which case Tekeno will cover these costs.

If the error is attributable to the Courier, the Courier must cover the cost of the local return and reshipment, if applicable.

Once the product is received and its condition verified, Tekeno will proceed with the refund. The period may be up to thirty (30) calendar days from the receipt of the product, subject to the policies of the issuing entity of the payment method.

For hygiene reasons, certain products (including, without limitation, underwear, cosmetics, personal care products, and food) cannot be returned, unless they are defective or shipped in error.

Tekeno reserves the right to refuse returns that do not meet these conditions.

Intellectual Property

All Tekeno brand materials, promotional content, and technology are the property of Tekeno LLC and may only be used within the framework of this partnership.

Duration and Termination

The agreement begins upon acceptance of these Terms and may be terminated at any time, without penalty.

The Courier will continue to receive commissions for purchases generated before termination, up to a maximum of thirty (30) days thereafter. These commissions will be strictly limited to the 15% stipulated in clause 3.1, with the Courier having no right to additional payments, compensation, or income for shipments managed outside their area.

Tekeno may suspend or terminate the agreement in case of breach or misuse by the Courier.

Limitation of Liability
Tekeno will not be liable for indirect, incidental, or consequential damages. Tekeno's maximum liability to the Courier will be limited to the amount actually paid in commissions during the last six (6) months. Tekeno will not be responsible for the incorrect use of the link or code by customers; if a customer does not use the Courier's link, the sale will not be attributed to the Courier.

Privacy and Data Protection

Applicable Framework. Tekeno is hosted on the Shopify platform and is governed by Shopify's applicable privacy and data protection policies, including the handling of buyer data, payment processing, and information storage.

Roles. Tekeno acts as the data controller for buyer data within its operation as a marketplace, always under Shopify's rules.

Data processed. Includes identification, contact, transactions, tracking, attribution by link.

Purposes. To operate the marketplace, attribute sales, manage shipments, support, reporting, and security, all within the framework permitted by Shopify.

Communication with Courier's customers. Before the sale, Tekeno will only directly contact customers from the Courier's base who interact with Tekeno, in accordance with current subscription policies, as well as abandoned cart and payment recovery and conversion. These policies contribute to the conversion of the Courier's sales.

International transfers. Data may be processed in the USA under Shopify's infrastructure and with contractual protection measures.

Retention. Data retained for the time necessary for operations, auditing, and as required by Shopify.

Rights. Access, rectification, erasure, objection, portability through info@tekeno.com, in line with Shopify's procedures.

Security. Technical and organizational measures applied by Tekeno and Shopify; sub-processors subject to contract.

Cookies and links. Use of cookies and unique codes for attribution and measurement, in accordance with Shopify's policies.

Confidentiality. The Courier's customer base data will only be used for contractual purposes and within the Shopify framework.

Data Processing Agreement (DPA). Available upon request by the Courier, in conformity with Shopify's terms.

Prevalence. In case of conflict between the provisions of this section and Shopify's policies, Shopify's policies will prevail.

Governing Law and Dispute Resolution
This agreement is governed by the laws of the State of Florida, USA. Any dispute will preferably be resolved through direct negotiation; otherwise, through arbitration in Miami-Dade, Florida.

Acceptance
By registering on Tekeno's form or by promoting the marketplace to their customer base, the Courier declares to have read, understood, and fully accepted these Terms and Conditions.
